1. Agreement to Terms
Welcome to Digital Code. These Terms of Service ("Terms") govern your access to and use of our website www.digitalcode.online and our digital marketing services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.
2. Description of Services
Digital Code provides professional digital marketing services, including but not limited to:

- Pay-Per-Click (PPC) Advertising Management

- Analytics and Reporting
The specific services provided to each client will be outlined in a separate service agreement or proposal. All services are provided on a professional basis with the goal of achieving measurable results for our clients.
3. Client Responsibilities
As a client of Digital Code, you agree to:
- Provide accurate, complete, and current information as required for service delivery
- Grant necessary access to websites, accounts, and platforms as needed for our services
- Respond to requests for approval or information in a timely manner
- Pay all fees as outlined in your service agreement
- Comply with all applicable laws and platform policies
- Not use our services for any illegal, fraudulent, or deceptive purposes
- Not request services that would violate any third-party terms of service or advertising policies
4. Payment Terms
4.1 Fees and Billing
All fees for our services are outlined in your service agreement or proposal. Unless otherwise specified:
- Monthly service fees are billed at the beginning of each billing cycle
- Payment is due within 14 days of invoice date
- Advertising spend is separate from service fees and paid directly to advertising platforms
- All fees are in US dollars unless otherwise specified
4.2 Late Payments
Late payments may result in service suspension. Accounts more than 30 days overdue may be subject to a late fee of 1.5% per month on the outstanding balance. We reserve the right to suspend services for accounts with outstanding balances.
5. Service Delivery and Results
While we strive to deliver excellent results for our clients, we cannot guarantee specific outcomes such as search engine rankings, traffic volumes, or conversion rates. Digital marketing results depend on many factors beyond our control, including:
- Search engine algorithm changes
- Competitor activities
- Market conditions
- Platform policy changes
- Client's website and content quality
We commit to using industry best practices, ethical techniques, and transparent reporting to achieve the best possible results for your business.
6. Intellectual Property
6.1 Client Content
You retain all rights to content and materials you provide to us. By providing content, you grant us a license to use such content solely for the purpose of providing our services.
6.2 Work Product
Upon full payment, you will own the deliverables created specifically for you (such as custom content, designs, and landing pages). We retain ownership of our proprietary tools, methodologies, and any pre-existing materials.
6.3 Portfolio Use
We may use anonymized case studies and aggregate data from our work for portfolio, marketing, and educational purposes, unless you request otherwise in writing.
7. Confidentiality
We treat all client information as confidential and will not disclose your business information, strategies, or data to third parties except as necessary to provide our services (such as to advertising platforms) or as required by law. This confidentiality obligation survives termination of our relationship.
8. Termination
8.1 Termination by Client
You may terminate your service agreement at any time with 30 days written notice. You are responsible for payment of all services rendered up to the termination date.
8.2 Termination by Digital Code
We may terminate services if:
- Payment is not received within 30 days of the due date
- You breach these Terms or your service agreement
- You engage in illegal or unethical activities
- Continuing service would require us to violate any law or third-party policy
8.3 Effect of Termination
Upon termination, we will transfer any assets and access credentials to you and cease all services. Any prepaid fees for services not yet rendered will be refunded on a prorated basis.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Digital Code shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
- Our total liability for any claims arising from our services shall not exceed the total fees paid by you in the twelve (12) months preceding the claim
- We are not liable for any losses resulting from platform policy changes, algorithm updates, or third-party actions beyond our control
10. Indemnification
You agree to indemnify and hold harmless Digital Code, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.
11. Ethical Business Practices
Digital Code is committed to ethical business practices. We:
- Follow all platform guidelines and policies (Google Ads, Meta, etc.)
- Use only white-hat SEO techniques compliant with search engine guidelines
- Provide transparent and accurate reporting
- Never engage in click fraud, fake reviews, or deceptive practices
- Maintain clear and honest communication about expected results
- Comply with all applicable advertising laws and regulations
12. Dispute Resolution
Any disputes arising from these Terms or our services shall first be addressed through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Tech City, TC, and the decision of the arbitrator shall be final and binding.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflict of law provisions.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of our services after such modifications constitutes your acceptance of the revised Terms.
